Welcome to Dubify Studio ("Software", "Application", "Service", "we", "us", or "our"). These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and Dubify Studio, operated by Honify ("Company").

By downloading, installing, accessing, or using Dubify Studio, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using the Software and uninstall it from all your devices.

This Agreement contains provisions that limit our liability and require you to indemnify us. Please read carefully. By using Dubify Studio, you assume full responsibility for ensuring your use complies with all applicable laws in your jurisdiction.

1.1 Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use Dubify Studio. By using the Software, you represent and warrant that you meet this requirement and have the legal capacity to enter into this Agreement.

1.2 Entity Usage

If you are using Dubify Studio on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" shall refer to both you individually and such entity.

2. Definitions

  • "Software" refers to Dubify Studio, including all features, updates, patches, and related documentation.
  • "Content" refers to any video, audio, text, subtitles, translations, or other materials processed through the Software.
  • "User Content" refers to any Content uploaded, created, or processed by users through the Software.
  • "Third-Party Components" refers to any software, libraries, APIs, or services integrated into or used by the Software that are owned or operated by third parties.
  • "License" refers to the right to use the Software as granted under these Terms.
  • "Personal Use" refers to non-commercial use by an individual for personal, non-business purposes.
  • "Commercial Use" refers to any use of the Software for business, commercial, or revenue-generating purposes.

3. License Agreement

3.1 Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download, install, and use Dubify Studio on devices you own or control
  • Use the Software for personal or commercial purposes in accordance with your subscription tier
  • Create derivative works (such as translated videos) using the Software's features

3.2 License Restrictions

You may NOT:

  • Copy, modify, distribute, sell, lease, sublicense, or transfer the Software or any portion thereof
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Use the Software to develop competing products or services
  • Share your license key, account credentials, or access with third parties
  • Use automated systems, bots, or scripts to access or use the Software
  • Circumvent, disable, or interfere with security features or usage limitations
  • Use the Software in any manner that could damage, disable, overburden, or impair our servers

3.3 License Tiers

Different license tiers may have specific terms regarding:

  • Number of devices on which the Software may be installed
  • Usage limits (e.g., minutes of video processing per month)
  • Access to premium features
  • Commercial use permissions
  • Priority support availability

3.4 Open Source Components

Dubify Studio incorporates open-source software components, including but not limited to:

  • FFmpeg - Licensed under LGPL/GPL
  • Whisper - Licensed under MIT License
  • Electron - Licensed under MIT License
  • Vue.js - Licensed under MIT License

The use of these components is subject to their respective licenses. We comply with all open-source license requirements and will provide source code for GPL-licensed components upon request.

4. Acceptable Use Policy

You agree to use Dubify Studio only for lawful purposes and in accordance with these Terms. Acceptable uses include:

  • Translating and dubbing videos that you own or have proper authorization to modify
  • Creating subtitles for content you have rights to
  • Educational and accessibility purposes
  • Creating content for platforms where you have posting rights
  • Business presentations and corporate communications

5. Prohibited Uses

The following activities are strictly prohibited and may result in immediate termination of your license, legal action, and reporting to appropriate authorities.

5.1 Illegal Content and Activities

You must NOT use Dubify Studio to:

  • Process, create, or distribute content that violates any applicable law or regulation
  • Create or distribute content involving child exploitation or abuse (CSAM) - this will be reported to law enforcement
  • Process content containing non-consensual intimate imagery
  • Create deepfakes or manipulated media intended to deceive, defraud, or harm individuals
  • Engage in fraud, scams, phishing, or other deceptive practices
  • Facilitate terrorism, extremism, or incitement to violence
  • Violate export control laws or economic sanctions
  • Engage in money laundering or financing of illegal activities

5.2 Copyright Infringement

You must NOT:

  • Process, translate, or dub copyrighted content without proper authorization
  • Circumvent digital rights management (DRM) protections
  • Create unauthorized copies or derivatives of protected content
  • Use the Software to facilitate piracy or unauthorized distribution
  • Remove or alter watermarks, credits, or attribution from content

5.3 Harmful Content

You must NOT create or process content that:

  • Is defamatory, libelous, or harmful to individuals or groups
  • Contains hate speech targeting protected characteristics
  • Harasses, bullies, or threatens any person
  • Contains malware, viruses, or other harmful code
  • Violates the privacy or publicity rights of others
  • Spreads misinformation or disinformation intended to cause harm

5.4 Misuse of AI Capabilities

You must NOT:

  • Use AI translation features to create misleading or fraudulent content
  • Generate fake news, propaganda, or manipulated statements
  • Impersonate individuals, organizations, or officials
  • Create synthetic media for malicious purposes
  • Use voice cloning features for fraud or identity theft

6. User Responsibility and Liability

📋 You Are Fully Responsible

As the user of Dubify Studio, you bear complete and sole responsibility for all content you create, process, translate, dub, and distribute using the Software.

6.1 Content Ownership and Rights

You represent and warrant that:

  • You own or have obtained all necessary rights, licenses, and permissions for any content you process through the Software
  • Your use of the Software does not infringe upon any third-party intellectual property rights
  • You have obtained consent from all individuals appearing in or identifiable in your content
  • You have the right to create derivative works (translations, dubs) from the original content

6.2 Legal Compliance

You are solely responsible for:

  • Ensuring your use of the Software complies with all applicable local, state, national, and international laws
  • Understanding and complying with copyright laws in your jurisdiction and the jurisdictions where your content will be distributed
  • Obtaining any necessary licenses, permits, or authorizations required for your intended use
  • Complying with platform-specific terms of service where you distribute content
  • Paying any applicable taxes, fees, or royalties related to your content

6.3 Assumption of Risk

You acknowledge and agree that:

  • The Software is a tool, and how you use it is your responsibility
  • We do not monitor, verify, or approve User Content
  • We are not responsible for the accuracy of translations or transcriptions
  • AI-generated translations may contain errors that you must review and correct
  • You use the Software at your own risk

6.4 Consequences of Violation

If you violate these Terms or use the Software illegally:

  • You may face immediate termination of your license without refund
  • We may report violations to appropriate law enforcement authorities
  • You may be held personally liable for any damages caused
  • You agree to indemnify us for any claims arising from your violations
  • We reserve the right to cooperate with legal investigations

7. Intellectual Property Rights

7.1 Our Intellectual Property

Dubify Studio, including its code, design, features, documentation, logos, and trademarks, is the exclusive property of Honify. All rights not expressly granted to you are reserved.

7.2 Your Content

You retain all rights to your original content. We do not claim ownership of any content you create or process using the Software. However, by using our cloud services (if applicable), you grant us a limited license to process your content solely for the purpose of providing the Service.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Software, you grant us a perpetual, worldwide, royalty-free license to use and incorporate such feedback into our products and services.

8. Third-Party Components and Services

8.1 Third-Party Software

Dubify Studio incorporates third-party software components. These components are subject to their own license terms, which you must also comply with. Key third-party components include:

  • OpenAI Whisper: Speech recognition engine - MIT License
  • FFmpeg: Multimedia processing - LGPL/GPL License
  • Translation APIs: Subject to respective provider terms
  • Voice Synthesis: Subject to respective provider terms

8.2 Third-Party Services

Some features may require third-party services (cloud APIs, translation services). Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or performance of third-party services.

8.3 API Usage

If you connect the Software to third-party APIs using your own API keys, you are responsible for compliance with those services' terms and any associated costs.

9. Content Policy

9.1 User Content Standards

All content processed through Dubify Studio must:

  • Be legally obtained and used
  • Not violate any third-party rights
  • Comply with applicable laws and regulations
  • Be appropriate for the intended audience
  • Not contain malicious code or harmful materials

9.2 Content Accuracy

While we strive for accuracy in our AI-powered features:

  • Translations may not be 100% accurate and should be reviewed
  • Transcriptions may contain errors, especially with accents or technical terms
  • Voice synthesis is an approximation and may not perfectly match original speakers
  • You are responsible for reviewing and correcting all output

9.3 Professional Use Disclaimer

For professional, legal, medical, or other specialized translations, we recommend having content reviewed by qualified human translators. The Software is not intended to replace professional translation services for critical applications.

10. DMCA and Copyright Policy

10.1 Copyright Compliance

We respect the intellectual property rights of others and expect our users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and similar international copyright laws.

10.2 Reporting Copyright Infringement

If you believe your copyrighted work has been infringed using our Software, please send a DMCA takedown notice to our designated agent with:

  • Identification of the copyrighted work claimed to be infringed
  • Identification of the material that is claimed to be infringing
  • Your contact information (name, address, telephone number, email)
  • A statement that you have a good faith belief that use of the material is not authorized
  • A statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner
  • Your physical or electronic signature

10.4 Counter-Notification

If you believe your content was wrongly flagged, you may submit a counter-notification following the procedures outlined in the DMCA.

10.5 Repeat Infringers

We maintain a policy of terminating, in appropriate circumstances, users who are repeat copyright infringers.

11. Privacy and Data Protection

11.1 Local Processing

Dubify Studio is designed to process content locally on your device whenever possible. Your videos and content are not automatically uploaded to our servers unless you explicitly use cloud features.

11.2 Data Collection

We may collect:

  • Account information (email, name) for license management
  • Usage analytics (anonymized) to improve the Software
  • Crash reports and error logs for debugging
  • License validation data

11.3 Data Protection

We are committed to protecting your privacy and comply with applicable data protection laws, including GDPR. For details, please refer to our Privacy Policy.

11.4 Your Responsibility

You are responsible for:

  • Protecting personal data in content you process
  • Obtaining consent from individuals whose data appears in your content
  • Complying with data protection laws applicable to your use

12. Payment Terms

12.1 Pricing

Pricing for Dubify Studio is as displayed on our website at the time of purchase. Prices are subject to change, but changes will not affect existing subscriptions until renewal.

12.2 Payment Methods

We accept major credit cards, PayPal, and other payment methods as displayed at checkout. All payments are processed securely through third-party payment processors.

12.3 Subscriptions

Subscription licenses automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings or by contacting support.

12.4 Taxes

Prices may not include applicable taxes (VAT, sales tax, etc.). You are responsible for any taxes associated with your purchase, which will be calculated at checkout based on your location.

12.5 Failed Payments

If a payment fails, we may suspend your access to premium features until payment is resolved. We will make reasonable attempts to notify you of payment issues.

13. Refund Policy

13.1 Free Trial

We offer a free trial period for you to evaluate the Software before purchasing. We encourage you to fully test the Software during this period.

13.2 Refund Eligibility

Refunds may be granted under the following conditions:

  • Request made within 14 days of purchase
  • Software has significant defects that prevent normal use
  • Features advertised are not available as described

13.3 Non-Refundable Circumstances

Refunds will NOT be granted for:

  • Change of mind after the trial period
  • Failure to read or understand feature descriptions
  • Incompatibility with your system if system requirements were published
  • Violation of these Terms resulting in license termination
  • Usage beyond trial period before requesting refund
  • Third-party service costs (API fees, etc.)

13.4 Refund Process

To request a refund, contact support@dubify.se with your order details. Approved refunds will be processed within 10 business days to the original payment method.

14. Warranty Disclaimer

DUBIFY STUDIO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the maximum extent permitted by applicable law, we expressly disclaim all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the accuracy, reliability, or completeness of translations
  • Warranties that the Software will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy of transcriptions or voice synthesis
  • Warranties regarding compatibility with all systems or software

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

15. Limitation of Liability

15.1 No Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DUBIFY STUDIO, HONIFY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from use or inability to use the Software
  • Damages arising from unauthorized access to or alteration of your content
  • Damages arising from third-party conduct or content
  • Cost of procurement of substitute goods or services

15.2 Maximum Liability

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €100.

15.3 Essential Purpose

The limitations in this section apply regardless of the legal theory on which the claim is based, including negligence, breach of contract, or any other theory, and even if we have been advised of the possibility of such damages.

15.4 Jurisdictional Variations

Some jurisdictions do not allow the limitation of liability for personal injury or certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Dubify Studio, Honify, and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Software
  • Any content you create, process, or distribute using the Software
  • Your violation of any third-party rights, including intellectual property rights
  • Your violation of any applicable law or regulation
  • Any claim that your content caused damage to a third party
  • Any illegal use of the Software by you

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense of such claims.

17. Termination

17.1 Termination by You

You may terminate this Agreement at any time by uninstalling the Software and ceasing all use. For subscriptions, please cancel through your account settings before the next billing period.

17.2 Termination by Us

We may terminate or suspend your license immediately, without prior notice or liability, for any reason, including if:

  • You breach any provision of these Terms
  • We reasonably believe you have engaged in fraudulent or illegal activity
  • We are required to do so by law
  • We decide to discontinue the Software

17.3 Effect of Termination

Upon termination:

  • Your license to use the Software is immediately revoked
  • You must uninstall the Software and destroy all copies
  • You lose access to premium features and cloud services
  • Provisions that by their nature should survive termination will survive (including indemnification, limitation of liability, and dispute resolution)

17.4 No Refund Upon Termination for Cause

If we terminate your license due to your breach of these Terms, you will not be entitled to any refund of fees paid.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions.

18.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Software shall be resolved exclusively in the courts of Sweden, and you consent to the personal jurisdiction of such courts.

18.3 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at support@dubify.se to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.

18.4 Class Action Waiver

To the extent permitted by law, you agree to resolve disputes on an individual basis and waive any right to participate in a class action, class arbitration, or other representative proceeding.

18.5 Time Limitation

Any claim or cause of action arising out of or related to these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

19. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will:

  • Post the updated Terms on our website
  • Update the "Last Updated" date
  • Notify you via email or in-app notification

Your continued use of the Software after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Software.

19.1 Notice Period

For material changes that significantly affect your rights, we will provide at least 30 days' notice before the changes take effect.

21. Additional Provisions

21.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published on our website, constitute the entire agreement between you and us regarding the Software.

21.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

21.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

21.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without your consent.

21.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

21.6 Headings

Section headings are for convenience only and have no legal effect.

21.7 Language

These Terms are written in English. Any translations are provided for convenience only. In case of conflict between the English version and any translation, the English version shall prevail.

21.8 Export Compliance

You agree to comply with all applicable export control laws and regulations. You may not export or re-export the Software to countries subject to U.S. or EU embargoes or to individuals or entities prohibited from receiving U.S. or EU exports.

21.9 Government Users

If you are a government user, the Software is provided with "RESTRICTED RIGHTS." Use, duplication, or disclosure by the government is subject to restrictions as set forth in applicable laws and regulations.
